PEEGLE LIVE Terms of Use and User Agreement

1. General Terms and Notices

1. This PEEGLE LIVE Terms of Use and User Agreement (this “Agreement”) governs your usage of our services, (hereinafter, “Services”) including PEEGLE LIVE App, a video streaming application and social media platform developed by us. You are one party and the other party is PEEGLE LIVE (“we”, “us” or “PEEGLE LIVE”). For the purposes of this Agreement, you and PEEGLE LIVE will be jointly referred to as the “Parties” and respectively as a “Party”. 

2. When using the Services, you will be subject to PEEGLE LIVE’s Privacy Policy and additional guidelines or rules that are posted on the Services or made available to you, or applicable to specific services and features that are disclosed to you in connection with such services. We may also offer certain paid services, which are subject to any additional terms or conditions that are disclosed to you in connection with such services.

3. By using our Services, or by clicking on "Register" during the registration process, you fully agree to all terms and conditions of this Agreement. We, at our sole discretion, may revise this Agreement from time to time, and the current version can be found at our website https://peeglelive.com/terms-conditions or in our app during the registration process and various other places during the use of our Services. By continuing to avail our Services, you agree to be bound by the revised Agreement. If you do not accept these Terms or our Privacy Policy or any of our rules and regulations, please do not use the Services and you can contact us immediately to cancel your account. 

4. You may only use our Services if you are 18 years or older, and if you are not subject to statutory age limit to enter into this Agreement according to the applicable laws and regulations in your country. If you are below the aforementioned minimum age, you may only use PEEGLE LIVE if your guardian has provided us with valid consent for you to use PEEGLE LIVE. If you are under the age of 18, you are prohibited from using the Services, and must terminate your account and delete the app immediately if already installed. If you are been reported or found by us, your account may be suspended immediately without notice. You may not falsely claim you have reached the minimum age. You will be solely responsible and liable for any damages and consequences whatsoever due to your false claim of your age to enter this Agreement and make use of our Services.

5. If you are using the Services on behalf of a company or organization, you confirm to us that you have authority to act on behalf of that entity, and that entity accepts this Agreement. Otherwise you will be solely responsible and liable for any consequences which may arise from your unauthorized use of the entity name and representation.

6. You shall be solely responsible for the safekeeping of your PEEGLE LIVE account and password. All behaviors and activities conducted through your PEEGLE LIVE account will be deemed as your behaviors and activities for which you shall be solely responsible. 
   
   

2. Services Content

1. We reserve the right to change our Services from time to time, at our discretion, with or without notice. PEEGLE LIVE is constantly changing and improving its Services. We may also need to alter or discontinue the Service, or any part of it, in order to make performance or security improvements, change functionality and features, make changes to comply with law, or prevent illegal activities on or abuse of our systems. We will always try to consider and balance the impact of such changes on the use of the Services. Whenever reasonably possible, we will provide notice when we discontinue or make material changes to our Services that will have an adverse impact on the use of our Services. However, there will be times when we need to make such changes without notice, such as where we need to take action to improve the security and operability of our Services, bug fixing, false recovery, prevent abuse, or meet our legal requirements. 

2. Our Services allow you to go broadcast yourself over the internet, and discover, watch and share videos and other content, provides a forum for people to connect, inform, and inspire others across the globe, and acts as a distribution platform for original content creators and advertisers large and small.

3. The content on PEEGLE LIVE includes live streams, videos, audio, graphics, photos, text (such as status posts, comments and scripts), branding (including trade names, trademarks, service marks or logos), interactive features, software, metrics, and other materials whether provided by you, PEEGLE LIVE or a third party (collectively, “Content”). Content may be provided to PEEGLE LIVE and distributed by our users and PEEGLE LIVE is only a provider of hosting services for such content. Content is the sole responsibility of the person or entity that provides it to PEEGLE LIVE. If you see any content you believe does not comply with this Agreement, you can report it to us, and we shall in a reasonable time period to take necessary actions to verify and take action against it. Should you believe there is any infringement of copyright content and by providing us with sufficient supporting proof, we shall then contact the content provider and proceed to remove such content.

4. PEEGLE LIVE is a digital platform which allows users to distribute streaming live, use services, such as chat, bulletin boards, forum postings, voice interactive services, and to participate in other activities in which you may create, post, transmit, perform, or store content, messages, text, sound, images, applications, code or other data or materials on the Services (“User Content”). Users of the Services may also overlay music, graphics, stickers, virtual items and other features provided by PEEGLE LIVE (“PEEGLE LIVE Features”) onto this User Content and transmit this User Content through the Services. The views expressed by other users on the Services (including through use of the virtual gifts) do not represent our views or values whatsoever.

5. PEEGLE LIVE may help you discover content, products, and services that may interest you. We may show you ads, offers, and other sponsored content to help you discover content, products, and services that are offered by the many individuals, businesses and organizations.

6. PEEGLE LIVE has the sole right to suspend, delete, terminate or restrict provision of the Services under this Agreement at any time and is not obligated to bear any liability to you and/or any third party whatsoever, if any of the following events (including but not limited to) occur or if we suspect any of the following events occur. We may or may not issue any warnings before any action. Should you believe that your account have been mistakenly taken into action, you should contact us immediately for support. 

1. You are under the minimum age in order to receive PEEGLE LIVE services; 

2. You violate the Terms of Use and User Agreement as stipulated in this Agreement; 

3. You violate the Rules and Warnings and any other terms and conditions set out in our Services;

4. You are defaming PEEGLE LIVE or acting in bad faith towards PEEGLE LIVE;

5. You are spamming in our Services;

6. You are in possession of multiple accounts;

7. You are conducting fraudulent activities in our Services;

8. You are conducting any form of illegal hacking of our Services;

9. You are conducting third party Top up or purchases or fraudulent refund;

10. You are conducting any sales or resale of Peegle tokens;

11. Suspicious activities coming from your IP address or device;

7. Termination for Breach. If you breach any obligations under these Terms and any additional Agreements, we may terminate your account and forfeit any virtual items therein. For clarity, if we determine:

1. you breached any of the above mentioned in clause 2.6. 

2. you obtained virtual items through improper, fraudulent or injurious methods or had participated in or was involved in fraudulent activities that may harm the interest of PEEGLE LIVE or any user on PEEGLE LIVE, including but not limited to, involved in credit card fraud, unauthorized use of credit card, claim refund on your credit card after purchase, profit from PEEGLE LIVE system bugs, participate in hacker attack; or 

3. any of your broadcasting or comments text, photographs, sound recordings and private communications in violation of community rules or Terms of Use (including but not limited to racist, xenophobic, revisionist, obscene, offensive, abusive, libelous, slanderous, pornography in public areas, or of prejudice in any way to the honour or reputation of any third party, incite people to discrimination, hatred, violence, to commit a crime or offence or to consume illegal substances) or tarnish the reputation of PEEGLE LIVE brands or staff, we may ban your account or device ID, forfeit any and all tokens and virtual assets in your account immediately with or without prior notice. We reserve the right to pursue civil and criminal charges and penalties in such cases.

8. To operate our global service, we need to store and distribute content and data in our data centers and systems around the world, including outside your country of residence. This infrastructure may be operated or controlled by PEEGLE LIVE and its affiliates.

9. PEEGLE LIVE needs to perform scheduled or unscheduled repairs and maintenance. If such situations cause an interruption of any paid-for Services for a reasonable duration, PEEGLE LIVE shall not bear any responsibility or liability to you and/or to any third parties. However, PEEGLE LIVE shall try to provide notice to you before such event. 

10. Except for the express representations and warranties set forth in this agreement, PEEGLE LIVE makes no warranty in connection with the subject matter of this agreement and PEEGLE LIVE hereby disclaims any and all other warranties, whether statutory, express or implied, including all implied warranties of title, non-infringement, merchantability, fitness for a particular purpose and any implied warranties arising from course of dealing or performance, regarding such subject matter.

3. Terms of Use

1. You are responsible for the accuracy of information that you provide to PEEGLE LIVE, and upon request from PEEGLE LIVE, verify accuracy of the information given. 

2. You may not create PEEGLE LIVE account for others, or allow others to use your PEEGLE LIVE account. You shall immediately notify PEEGLE LIVE if you discover unlawful use of your account by others. 

3. In consideration for our Services, you agree that PEEGLE LIVE has the right to place advertisement or other types of commercial information. You also agree to receive advertisement or other relevant commercial information from PEEGLE LIVE via email or other methods. 

4. While using PEEGLE LIVE Services, you must abide by all applicable laws and regulations, and all rules and policies of PEEGLE LIVE. 

5. You may only share information that you are comfortable sharing with the public in your own will and you will be solely responsible for your content delivery and you hereby indemnifies PEEGLE LIVE from all responsibilities and liabilities whatsoever. You fully understand and agree that any live streaming content which you deliver could have the risk of been viewed or watched by any unauthorized or unwanted third parties using any external third party software or equipment.

6. Should you choose to host a Private live stream room which gives you the privacy of your own virtual space or property, to host your content for your invited users or your paid subscribers as per your setting, subject to you complying with the rules and warnings and any other terms and conditions set out in our Services and as indicated below (including but not limited to). You will be solely responsible and liable for any of your content creation and delivery in such private space and you hereby indemnifies PEEGLE LIVE from all responsibilities and liabilities whatsoever. You fully understand and agree that any live streaming content which you deliver could have the risk of been viewed or watched by any unauthorized or unwanted third parties using any external third party software or equipment. PEEGLE LIVE reserves the right to terminate your content and/or suspended your account immediately with or without any warnings should you violate any rules and warnings and/or any other terms and conditions set out in our Services and in this Agreement.

1. You must be 18 years or older to create a Private Live room. 

2. You may not charge the viewer entrance fee but shortly end the live stream thereafter. 

3. No nudity thumbnail is allowed, and you may not place a thumbnail or profile image which does not match with your gender to attract traffic.

4. You may not display empty/meaningless content or black screen in a Private Paid stream as it will be deemed as fraud.

5. You may not have multiple accounts and/or host live streams at the same time with these accounts. 

6. You may not stream any copyright or 3rd party content without proper licensing and prior permission from PEEGLE LIVE.

7. As an invited viewer of the Private live room or a paid subscriber of the Private live room, you hereby understand and agree that you must be 18 years or older to enter such Private live room. You also understand and agree that any Private live room may contain objectionable content. Viewer discretion is advised and you are entering at your own will. You also fully understand and agree that there could be risk of paying for the entrance of a Private live room but live has just ended by the host due to any reason whatsoever. We will not be responsible in any way for anything arising from such Private live room whatsoever and no refund will be offered.

8. You may not distribute via PEEGLE LIVE in any Public live rooms or public stories area which is freely accessible to everyone any content that may be considered: 

1. excessively violent, including any content that is related to death or serious injury; 

2. pornographic or nudity, or any adult content, including any form of child exploitation; 

3. depicting, encouraging or assisting suicide or self-harm; 

4. rumor, false or misleading information; 

5. hateful speech or conduct, including any content that promote racism, terrorism, ageism or sexism; 

6. profane, blasphemous or any content that may offend people of certain faith, or otherwise related to religion; 

7. related to gambling, abortion, weapon, or other highly explosive subject matter; 

8. abusive, libelous, or otherwise harassing other people or group; 

9. spam, junk mail or other unsolicited advertisement; 

10. other contents that in the judgment of PEEGLE LIVE that are negative contents or otherwise not suitable for distribution. 

9. The following restrictions apply to your use of the Services. You are not allowed to:

1. access, reproduce, download, distribute, transmit, broadcast, display, sell, license, alter, modify or otherwise use any part of the Services or any Content except: 

(a) as specifically permitted by the Services; 

(b) with prior written permission from PEEGLE LIVE and, if applicable, the respective rights holders; or

(c) as permitted by applicable law;

2. circumvent, disable, fraudulently engage with, or otherwise interfere with the Services (or attempt to do any of these things), including security-related features or features that: 

(a) prevent or restrict the copying or other use of Content; or 

(b) limit the use of the Services or Content;

3. access the Services using any automated means (such as robots, botnets or scrapers) except: 

(a) in the case of public search engines, in accordance with PEEGLE LIVE’s robots.txt file; 

(b) with PEEGLE LIVE’s prior written permission; or 

(c) as permitted by applicable law;

4. collect or use any information that might identify a person (for example, harvesting usernames), unless permitted by that person.

5. use the Services to distribute unsolicited promotional or commercial content or other unwanted or mass solicitations (spam);

6. cause or encourage any inaccurate measurements of genuine user engagement with the Services, including by paying people or providing them with incentives to increase a video’s views, likes, or dislikes, or to increase a channel’s subscribers, or otherwise manipulate metrics;

7. misuse any reporting, flagging, complaint, dispute, or appeals process, including by making groundless, vexatious, or frivolous submissions;

8. use the Services to view or listen to Content other than for personal, non-commercial use; or

9. use the Services to: 

(a) sell any advertising, sponsorships, or promotions placed on, around, or within the Services or Content, other than those agreed with PEEGLE LIVE; or 

(b) sell advertising, sponsorships, or promotions on any page of any website or application that only contains Content from the Services or where Content from the Services is the primary basis for such sales (for example, selling ads on a webpage where PEEGLE LIVE videos are the only content of value).

10. You may not impersonate any other individual, entity, governmental agency or organizations. 

11. You may not publish or distribute other people's private information without their express authorization and permission. 

12. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish or distribute any copyrighted or proprietary works. You are solely responsible to clear such licenses, rights, consents and permissions. 

13. You may not publish or link to any malicious code, phishing website or other content that may threaten the security of the Internet. 

14. You may not conduct any sale or resale of Peegle Tokens in any way whatsoever, else your account may be suspended. If you want to convert your token into cash, you can only do so by exchanging them into cash for your own withdraw. 

15. PEEGLE LIVE has the right to review and monitor your behavior on PEEGLE LIVE. If PEEGLE LIVE, at its sole discretions, reasonably considers that you have violated the Terms of Use and User Agreement, PEEGLE LIVE may freeze, suspend, disable, delete, ban or revoke your account. Should we found that you are in violation of the Terms of Use and User Agreement, you hereby understand and accept that any virtual asset including any tokens or any other valued items associated with your account will be frozen, suspended, disabled, banned, deleted or revoked as well. 

16. If PEEGLE LIVE discovers or reasonably suspects that any of your gift or token is acquired in a fraudulent or illegal manner, or is in an abnormal status, PEEGLE LIVE may freeze, suspend, disable, ban or revoke your account alongside with the gift and tokens. 

17. If your account is frozen, suspended, disabled, banned, deleted or revoked, you may not create a second account or ask any other to create a second account for you. 

18. If you violate any Terms of Use and User Agreement, you shall indemnify and hold harmless of PEEGLE LIVE against any liability resulting from a claim by a third party in relation to your violation. 

19. Any right not expressly granted to you in this Agreement remains the right of PEEGLE LIVE or the respective rights holders. This means, for example, that using the Services does not give you ownership of any intellectual property rights in the Content you access (including any branding used on or displayed in the Services).
    
    

4. Your Content and Conduct

1. Uploading Content

1. If you have a PEEGLE LIVE account, you may be able to upload Content to the Services. You may use your Content to promote your business or artistic enterprise. If you choose to upload Content, you must not submit to the Service any Content that does not comply with this Agreement or the law. For example, the Content you submit must not include third-party intellectual property (such as copyrighted material) unless you have permission from that party or are otherwise legally entitled to do so. You are legally responsible for the Content you submit to the Service. We may use automated systems that analyze your Content to help detect infringement and abuse, such as spam, malware, and illegal content.

2. Rights you Grant

1. You are hereby giving PEEGLE LIVE the right and consent to place our branding logo in the videos which you have uploaded onto the app by using our Services. Such branding logo will only be displayed in the video when the video get downloaded using our Services by yourself or any other third party. PEEGLE LIVE does not own the video, nor will be held responsible or liable for anything whatsoever. You will be solely responsible and liable for the Content which you have uploaded onto the app. You hereby indemnify us against any damages or liabilities which may arise from the content you have uploaded or downloaded by anyone.

2. You retain all of your ownership rights in your Content. In short, what belongs to you stays yours. However, we do require you to grant certain rights to PEEGLE LIVE and other users of the Services, as described below.

3. Licence to PEEGLE LIVE

1. By providing Content to the Services, you grant to PEEGLE LIVE a worldwide, non-exclusive, royalty-free, transferable, sub licensable licence to use that Content (including to reproduce, download, distribute, modify, display and perform it) for the purpose of operating, promoting, and improving the Service.

4. Licence to Other Users

1. You also grant each other user of the Services a worldwide, non-exclusive, royalty-free licence to access your Content through the Service, and to use that Content (including to reproduce, download, distribute, modify, display, and perform it) only as enabled by a feature of the Services.

5. Duration of Licence

1. The licences granted by you continue until the Content is removed as described below. Once removed, the licences will terminate, except where the operation of the Services, use of Content permitted before your removal, or the law requires otherwise. For example, removal of Content by you does not require PEEGLE LIVE to: 

(a) recall Content that is being used by other users within any limited offline viewing functionality of the Service; or 

(b) delete copies we reasonably need to keep for legal purposes.

6. Removing Your Content

1. You may remove your Content from the Services at any time. You must remove your Content if you no longer have the rights required by these terms.

7. Removal of Content By PEEGLE LIVE

1. If we reasonably believe that any Content is in breach of this Terms of Use and User Agreement or may cause harm to PEEGLE LIVE, our users, or third parties, we may remove or take down some or all of such Content with or without notice. We may notify you with the reason for our action unless we reasonably believe that to do so: 

(a) would violate the law or the direction of a legal enforcement authority, or would otherwise risk legal liability for PEEGLE LIVE or our Affiliates; 

(b) would compromise an investigation or the integrity or operation of the Service; or 

(c) would cause harm to any user, other third party, PEEGLE LIVE or our Affiliates.

8. Copyright Protection

1. If you believe your copyright has been infringed on the Services, please send us a notice to our support department. We respond to notices of alleged copyright infringement and conduct investigations and take necessary actions accordingly.

5. Virtual Items

1. You can only buy virtual Peegle Tokens (“Tokens”) and virtual gifts (“Gifts”) on our official apps or official channels. These are regarded as Virtual Items. No third party recharge or purchase is allowed. 

2. You can send Gifts to others, receive Gifts which has equivalent value of Tokens after our Services commission at 20% of the gift value, and exchange Tokens for cash at the exchange rate specified in the Peegle Token exchange page.

3. PEEGLE LIVE reserves the right to change the Tokens exchange rate at any time at our sole discretion without notice. We will use commercially reasonable efforts to generally notify all users prior to such change through a notice or announcement or message on PEEGLE LIVE platform. Should you feel that you need to exchange Tokens before the change in exchange rate, you should do so in such notice period before the new effective date. PEEGLE LIVE will not be responsible for any possible loss you may incur due to the change of the exchange rate. 

4. PEEGLE LIVE reserves the right to change the Peegle Token pricing and Services commissions at any time at our sole discretion without notice. We will use commercially reasonable efforts to generally notify all users prior to such change through a notice or announcement or message on PEEGLE LIVE platform. Should you feel that you need to make any necessary action before the change, you should do so in such notice period before the new effective date. PEEGLE LIVE will not be responsible for any possible loss you may incur due to such changes. 

5. The price of the Tokens will be displayed at the point of purchase. All charges and payments for Tokens will be made in the currency specified at the point of purchase through the relevant payment mechanism. Currency exchange settlements, foreign transaction fees and payment channel fees, if any, are based on your agreement with the applicable payment provider.

6. You will be responsible for the payment of any Tokens purchased by you. Once your purchase has been completed, your user account will be credited with Tokens. Tokens can be used to purchase Gifts or transfer to other users. Tokens can be exchanged for cash out at the specified exchange rate defined by PEEGLE LIVE. Tokens cannot be used as legal tender, or currency of any state, region, or any political entity, or any other form of credit. Tokens can only be used in PEEGLE LIVE and as part of our Services, and cannot be combined or used in conjunction with other promotions, coupons, discounts or special offers, except those designated by us.

7. Except as otherwise set out in this Agreement, all sales of Tokens and Gifts are final, and we do not offer refunds for any purchased Tokens and Gifts whatsoever. 

6. Payout Terms

1. Once your cash stored in your wallet in your User Account exceeds certain amount, either by your own purchase exchange or by receiving from other Users, may be cashed out for actual currency (each transaction, a “Payout”). This process is called payout request submission. The threshold value of the payout will be determined by us, based on the geographic location and application version that you are using the Services from, which we may set and change from time to time at our sole discretion. The payout fee may also change from time to time at our sole discretion.

2. Your user account on PEEGLE LIVE must be active and normal in order to submit the payout request. If your account is suspended or restricted due to any violations of our rules and terms, then you will not be eligible for any payout.

3. You must have an active payment receiving account in order to execute the payout. The payout request will be processed within fifteen (15) business days following any payout request. 

4. The amount of any payout cannot exceed the amount of residual cash value in your User Account. We have established minimum amounts required for each payout. We may also set a maximum amounts you may cash out per day at our sole discretion. The amount required may vary based on different geographic locations.

6.5 We may charge a withdrawal fee for each payout activities to cover our bank transaction costs to submit your payment request. However, you are solely responsible for any and all fees that might occur in connection with your payout transaction, such as transactions fees charged by your banking system, payment provider, foreign exchange rate commissions or due to applicable law or regulations enforced in the geographic location you reside. For any international payout transactions, the amount you will receive may be different from the estimated amount or the market value due to exchange rate variations and commissions. 

5. Each payout request will be manually approved by our staff for security reasons, which may take up to fifteen (15) business days upon receiving the payout request. Payout requests involving suspicious account activities and/or information may be denied. Under some circumstances, the third-party payment service provider processing the payout request may place your payout funds received on a temporary hold based on minimal transfer amount requirement or no previous transaction history with us to demonstrate a pattern of positive money exchanges. In the event such a hold occurs, you can contact us for assistance for the confirmation of the payment. PEEGLE LIVE will not be responsible in any way for any financial holds initiated by your electronic transfer Service providers.

6.6 If your account has no activity or is deactivated for six (6) consecutive months, all of your unused or unredeemed Virtual Items will be reset to zero. For purpose of this section, the term “Inactive” means that, based on our records: (a) you have not logged into your PEEGLE LIVE account; or (b) we have been unable to reach you to verify that you intend to continue use your account or to use or payout your Virtual Items. Virtual Items may be redeemed or removed from your account or be subject to other limitations at PEEGLE LIVE’s sole discretion.

7. If you deactivate or cancel your user account pursuant to our Terms of Use, your ability to redeem or use Virtual Items will be terminated immediately, without any right to refund or any other compensation for you. When we cancel or terminate access to your Virtual Items account balance for violating PEEGLE LIVE Terms of Use or community rules, your right to use your Virtual Items account balance immediately ceases. Further, we may suspend or otherwise limit your access to your Virtual Items if we suspect, in our sole discretion, fraudulent, abusive or unlawful activity associated with your account. When we suspend or limit access to your Virtual Items account balance, your right to use your Virtual Items account balance immediately ceases.

7. Forfeiture of Virtual Items or Cash Exchanged Due to Termination or Fraud

7.1 IMPORTANT: We take fraud extremely seriously. In addition to taking all applicable and necessary legal actions, we have the right to permanently confiscate or forfeit any Virtual Items or cash exchanged from such Virtual Items from any User Account that we determine were purchased or acquired using fraudulent measures; which includes but not limited to, confiscation of any Gifts received by you from another User in which such Gifts were purchased fraudulently. In the event we determine that the Virtual Items in your possession were fraudulently purchased, we may or may not notify you prior to confiscation, however, we will allow you an opportunity to make an appeal.

7.2 If we terminate your account due to your violation of our Terms of Use such as fraud or scamming, any cash exchanged or payouts and any outstanding Virtual Items remaining in your account at the time of termination may be irrevocably forfeited, in accordance with this Terms of Use set out in this Agreement.

7.3 If you do not agree to any of our terms set out in our Terms of Use and Privacy Policy, you must stop accessing or using our Services immediately. Continue to make use of our Services means you fully understood and accepted our Terms of Use.

8. Payment Terms

1. We accept major credit cards, certain debit cards and/or such other payment methods we may make available to you from time-to-time through our site, as forms of payment. You are subject to all terms and conditions of the payment method you choose. By submitting an order through the Services, you authorize us, or our designated payment processor, to charge the account you specify for the purchase amount. The default pricing currency is currently set in ZAR. We may change the default currency from time to time.

2. Our payment processing partners may request that you provide certain personal data (e.g., a valid government issued ID, your legal name, address, and date of birth) for the purpose of making payment through its financial institutions and complying with applicable international, national, federal, state, and local laws and regulations. They may also communicate directly with you regarding any issues with a payment.

3. If a purchase has been declined online due to issues with your payment method, please ensure all data is correct and resubmit. 9. Intellectual Property Rights

1. All text, data, images, graphics, audio and/or video information, features and functionalities and other materials within the Services provided by PEEGLE LIVE are property of PEEGLE LIVE are protected by copyright, trademark and/or other property rights laws. Nothing in this Agreement shall be construed as conferring any license of any intellectual property rights or such materials by PEEGLE LIVE to you. 

2. By using and/or uploading any live stream content or other content through a PEEGLE LIVE Services to publicly accessible areas of PEEGLE LIVE website or App, you grant to PEEGLE LIVE and its sub-licensees the permission, free, permanent, irrevocable, non-exclusive and fully sub-licensable rights and license, without any territorial or time limitations and without requiring any approvals and/or compensations, to use, copy, modify, adapt, publish, translate, edit, dispose, create derivate works of, distribute, perform and publicly display such content (in whole or in part), and/or incorporate such content into existing or future forms of work, media or technology. 
   
   
   

10. Terminating Services

1. You may terminate PEEGLE LIVE Services and this Agreement by cancelling your PEEGLE LIVE account. If you would like to have your account deleted, we can take care of this for you. You may contact us at: support@peeglelive.com. Once you choose to delete your account, you will not be able to reactivate your account or retrieve any of the content or information you have added. 

2. To the fullest extent permitted by applicable law, PEEGLE LIVE reserves the right, without notice and in our sole discretion, to terminate your license to use the Services (including to post User Content), and to block or prevent your future access to and use of the Services, including where we reasonably consider that: 

(a) your use of the Services violates this Agreement or applicable law; 

(b) you fraudulently use or misuse the Services; or 

(c) we are unable to continue providing the Services to you due to technical or legitimate business reasons. This includes the ability to terminate or to suspend your access to any purchased products or services. To the fullest extent permitted by applicable law, your only remedy with respect to any dissatisfaction with (i) the Services, (ii) any term of these terms of Services, (iii) any policy or practice of PEEGLE LIVE in operating the Services, or (iv) any content or information transmitted through the Services, is to terminate your account and to discontinue use of any and all parts of the Services.

10.3 PEEGLE LIVE reserves the rights to safe keep your account information for record purposes for a period of 3 years after the termination of your account and Service, in case of any possible dispute or legal inquiries. You may not ask us to delete your information within this period. You may only ask us to do so after this period. 

11. Privacy

12. Disclaimers and Limitation of Liability

1. You shall be fully responsible for any risks involved in using PEEGLE LIVE Services. Any use or reliance on PEEGLE LIVE Services will be at your own risk. 

2. Under no circumstance does PEEGLE LIVE guarantee that the Services will satisfy your requirements or bug free or guarantee that the Services will be uninterrupted. The timeliness, security and accuracy of the Services are also not guaranteed. PEEGLE LIVE shall not bear any liability for any interruption of or other inadequacies in the Services. You acknowledge and agree that the Services are provided by PEEGLE LIVE on an “as is” basis. PEEGLE LIVE make no representations or warranties of any kind express or implied as to the operation and the providing of such Services or any part thereof. PEEGLE LIVE shall not be liable in any way for the quality, timeliness, accuracy or completeness of the Services and shall not be responsible for any consequences which may arise from your use of such Services. 

3. PEEGLE LIVE does not guarantee the accuracy and integrity of any external links that may be accessible by using the Services and/or any external links that have been placed for the convenience of you. PEEGLE LIVE shall not be responsible for the content of any linked site or any link contained in a linked site, and PEEGLE LIVE shall not be held responsible or liable, directly or indirectly, for any loss or damage in connection with the use of the Services by you. Moreover, PEEGLE LIVE shall not bear any responsibility for the content of any webpage that you are directed via an external link that is not under the control of PEEGLE LIVE. 

4. PEEGLE LIVE shall not bear any liability for the interruption of or other inadequacies in the Services caused by circumstances of force majeure, or that are otherwise beyond the control of PEEGLE LIVE. 

5. PEEGLE LIVE and its affiliates take no responsibility and assume no liability for any content that you, other Users, or any third party creates, uploads, posts, sends, receives, or stores on or through our Services. You understand and agree that you may be exposed to content that might be offensive, illegal, misleading, or otherwise inappropriate, none of which PEEGLE LIVE, nor its affiliates will be held responsible for.

6. Nothing in these Terms will exclude or limit our rights to remove User content under applicable circumstances.

7. PEEGLE LIVE, the associated company, our affiliates, officers, directors, shareholders, employees, agents, suppliers and licensors will not be liable for any direct or indirect damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill or other intangible assets, resulted from: (a) your use of the Services or inability to use the Services, or any features contained therein; (b) your access to or inability to access the Services, or any features contained therein; (c) the conduct or content of other users or third parties within the Services; or (d) unauthorized access, use or alteration of your content. In no event will PEEGLE LIVE or their affiliates’ aggregate liability for any and all claims.
   
   

13. Legal Jurisdiction

1. This Agreement shall be governed by and construed in accordance with the laws of South Africa, without regard to choice of law principles. 

2. If a dispute arises between you and PEEGLE LIVE, we strongly encourage you to first contact us directly to seek a resolution by going through our support channels. We will consider reasonable requests to resolve the dispute through alternative dispute resolution procedures, such as mediation or arbitration, as alternatives to litigation.

14. Indemnification

14.1 By using the Services, you hereby agree to fully indemnify, defend and hold harmless PEEGLE LIVE and all our affiliates, directors, officers, shareholders, stockholders, employees, licensors, suppliers, and agents from and against any complaints, charges, claims, damages, losses, costs, liabilities and expenses (including attorneys’ fees) due to, arising out of, or related in any way to: (a) your access to or use of the Services; (b) your User content; and (c) your breach of any Terms of Use and/or rules and regulations.

15. Modification of the Agreement

1. We amend these terms of the Agreement from time to time, for instance when we update the functionality of our Services, when we combine multiple apps or services operated by us or our affiliates into a single combined service or app, or when there are regulatory changes. We will try to use commercially reasonable efforts to generally notify all users of any material changes to these terms, such as through a notice or announcement or message on PEEGLE LIVE platform. However, you should look at the Agreement regularly to check for such changes. Your continued access or use of the Services after the date of the new terms constitutes your acceptance of the new terms. If you do not agree to the new terms, you must stop accessing or using the Services.

16. Other Terms

1. This Agreement constitutes the entire agreement of agreed items and other relevant matters between both parties. Other than as stipulated by this Agreement, no other rights are vested in either Party to this Agreement. 

2. If any provision of this Agreement is rendered void or unenforceable by competent authorities, in whole or in part, for any reason, the remaining provisions of this Agreement shall remain valid and binding. 

3. The headings within this Agreement have been set for the sake of convenience, and shall be disregarded in the interpretation of this Agreement.
